OCTE Governance Legal Review

The Ontario Council for Technology Education (OCTE) recently engaged in a financial audit reviewing the last two years of financial data and organizational procedures. Among several key recommendations identified was the fact that our Constitution and By-Laws do not align with the current director structure and operation of our organization.  At this point, we are seeking a lawyer to provide legal advice and a process to ensure that we select the correct governance structure and Constitution that meet the needs of our public education partners, while ensuring that our By-Laws are in compliance with the Not-For-Profit Corporations Act of Ontario.

OCTE is welcoming proposals from licensed law firms who provide services in corporation law to:

  • Review the audit key recommendations, both financial procedures and governance, from a legal perspective and provide implementation protocols through a revised by-law structure;
  • Review our OCTE governance structure and Constitution and make recommendations for a structure that meets the needs of our public education  partners, ensuring that such proposed governance structure complies with the Not-For-Profit Corporations Act of Ontario;
  • Support and guide OCTE in updating and submitting proposed changes to our governance structure, Constitution, and By-Laws to our members, in accordance with mandates under the Not-For-Profit Corporations Act;
  • Provide or advise on any additional documents and/or procedures to ensure all steps of the process are legally binding.
